4. Fees and Payment

  • Fee Structure: Fees for our services will be clearly outlined in your engagement letter. We offer both fixed fees and hourly rates depending on the service.
  • VAT: All fees are subject to VAT at the applicable rate, unless otherwise stated.
  • Payment Terms: Payment for services is due upon receipt of the invoice unless otherwise agreed. Late payments may result in interest being charged at 8% per annum above the Bank of England base rate.
  • Default Payments: In the event of non-payment, we reserve the right to cease work until all overdue payments are settled.

5. Client Responsibilities

  • Provision of Information: The client must provide all necessary documentation, records, and information in a timely manner. You are responsible for ensuring that all information provided is accurate and complete.
  • Deadlines: You must inform us of any relevant deadlines well in advance. Failure to do so may result in penalties from tax authorities, for which we cannot be held responsible.
  • Confirmation of Services: You must review and confirm the services provided as per the engagement letter.

6. Limitations of Liability

  • Accuracy of Information: We are not liable for any penalties or damages resulting from incorrect or incomplete information provided by the client.
  • Third-Party Data: Where third-party data or services (e.g., payroll software) are involved, we cannot be held responsible for the accuracy or performance of these systems.
  • Professional Indemnity: We hold professional indemnity insurance, which covers our liabilities up to a specific amount. Full details are available upon request.

7. Confidentiality and Data Protection

  • Confidentiality: We are committed to protecting your confidential information. We will not disclose your information to third parties except where required by law or as part of the services we provide (e.g., submitting information to HMRC).

8. Termination of Services

Either party may terminate the services with written notice. Upon termination, you will be required to settle all outstanding invoices. We reserve the right to retain client files until payment is received in full.

Any disputes relating to our services will first be attempted to resolve informally between the parties. If resolution cannot be achieved, the matter may be escalated to a formal mediation process, or legal action may be taken in a court of law in England.

10. Anti-Money Laundering

In compliance with the Anti-Money Laundering Regulations, we are required to conduct identity verification checks on clients. This includes carrying out soft credit checks, which will not affect your credit score.

11. Intellectual Property

All intellectual property rights related to the services provided (including reports, advice, and documents) remain our property unless otherwise agreed. You are granted a non-exclusive license to use any such documents for your internal business purposes.

12. Referral Fees

We may receive referral fees from third parties. You agree that we are entitled to retain these fees unless otherwise agreed in writing.

13. Force Majeure

We will not be held liable for delays or failure to perform our obligations if such delay or failure is caused by circumstances beyond our reasonable control (e.g., natural disasters, strikes, pandemics).

14. Governing Law

These terms and conditions are governed by the laws of England and Wales. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
